3. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information as requested
- Supply necessary content, images, and materials in a timely manner

- Ensure you have the rights to use any content you provide
- Make payments according to the agreed-upon schedule
- Communicate any concerns or issues promptly
4. Intellectual Property
Client Ownership
Upon full payment, clients receive ownership of the final deliverables specifically created for their project, including custom designs, code, and content created for their website.
RainyStudios Rights
RainyStudios retains the right to:
- Display completed work in our portfolio and marketing materials
- Reuse general techniques, methods, and non-custom code
- Include a small credit link on completed websites (unless otherwise agreed)
Third-Party Materials
Projects may include third-party tools, libraries, or assets (such as fonts, stock images, or software) that are subject to their own licensing terms.
5. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- A deposit may be required before work begins
- Progress payments may be required at project milestones
- Final payment is due upon project completion and before final files are delivered
- Late payments may result in project delays or suspension of services
6. Project Changes and Revisions
The scope of revisions included in each project will be specified in the project agreement. Additional revisions or scope changes beyond the agreed-upon terms may incur additional fees.
7. Confidentiality
We will treat all client information and materials as confidential and will not disclose them to third parties without consent, except as necessary to complete the project or as required by law.
8. Limitation of Liability
To the fullest extent permitted by law:
- RainyStudios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
- Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
- We are not liable for any third-party services, hosting providers, or external factors beyond our control
9. Indemnification
You agree to indemnify and hold harmless RainyStudios, Alloui Enterprises, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Content you provide for your project
- Your violation of these Terms
- Your violation of any third-party rights
10. Termination
Either party may terminate a project agreement with written notice. In the event of termination:
- Client is responsible for payment for all work completed up to the termination date
- Any deposits may be non-refundable based on work already performed
- Specific termination terms will be outlined in individual project agreements
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Indiana.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
